1. Contract and Acceptance
1.1 These General Terms and Conditions of Use (the “Terms”) govern your access to and use of (a) the website located at www.MagisCenter.com and the MagisAI App and all associated pages, subdomains, mobile sites, and content (collectively, the “Site”) and (b) any content, features, functionality, information, products, or services offered on or through the Site (collectively with the Site, the “Services”), such as Magis Institute (institute.MagisCenter.com).
1.2 The Services are provided by Magis Center, 12141 Lewis Street, Tower of Hope, Garden Grove, CA 92840 (“Magis Center,” “we,” “us,” or “our”). Contact: info@magiscenter.com.
1.3 By accessing or using the Services, you agree to be bound by these Terms and by our Privacy Policy (and any additional terms posted for specific activities or features), all of which are incorporated by reference. If you do not agree, do not use the Services.
1.4 We may revise these Terms at any time in our discretion by posting an updated version on the Site with the “Last Updated” date. Your continued use after changes are posted constitutes acceptance. Review these Terms regularly.
2. Who We Are; Nature of the Services
2.1 Magis Center provides Magis Center Learning Resources—educational materials, including videos, slideshows, articles, and blog content— including contemporary, science-based reason, and evidence concerning God, Jesus, the soul, and the Catholic Church, addressing faith, science, happiness, suffering, and related topics, and moral teaching.
2.2 The Site includes the Magis blog, which may feature contributions from Catholic physicists, biologists, theologians, philosophers, writers, artists, and other authors.
2.3 The Services are for general informational and educational purposes. They do not provide medical, legal, mental health, financial, or other professional advice.
3. Eligibility; Accounts; Parental Involvement
3.1 Eligibility. You must be at least 13 years old to create an account or submit user content. Users under 13 may use only those portions of the Services that do not require registration and only with verifiable parental consent in accordance with Section 12 (Children’s Privacy; COPPA).
3.2 Account Registration. To use certain features, you may need to create an account and provide accurate, current, and complete information. 3.3 Parental Responsibility. If you permit a minor to use the Services, you are responsible for the minor’s activity. Certain content may be more appropriate for adults or older teens. We encourage parents/guardians to supervise minors’ use.
4. Acceptable Use; Community Standards
You agree not to:
4.1 Use the Services for any unlawful purpose or in violation of applicable laws or regulations.
4.2 Post, upload, transmit, or otherwise make available any content that is harmful, threatening, abusive, harassing, defamatory, obscene, vulgar, invasive of another’s privacy, hateful, or discriminatory; that promotes violence or illegal activity; or that is otherwise objectionable.
4.3 Harm or attempt to exploit minors in any way; request or share personal information of minors; or engage in grooming or unsafe conduct.
4.4 Impersonate any person or entity; misrepresent your affiliation; or mislead others about the origin of content.
4.5 Infringe or violate any third-party intellectual property, publicity, privacy, or other rights.
4.6 Send unsolicited or unauthorized advertisements, spam, chain letters, or solicitations.
4.7 Upload or transmit viruses, malware, or any code intended to interrupt or damage the Services.
4.8 Interfere with or disrupt the Services or related networks; bypass, probe, or breach security or authentication measures; or attempt to “scrape,” “harvest,” or otherwise collect information without authorization.
4.9 Post or disclose others’ personal information without their consent (doxxing).
4.10 Use automated means (bots, crawlers) to access or copy the Services except as allowed by robots.txt or with our written permission.
5. User Content; License; Moderation
5.1 User Content. “User Content” means content you post, submit, upload, download, publish, or otherwise provide through the Services (e.g., comments on blog posts, forum entries, submissions). You are solely responsible for your User Content and for ensuring that you have all necessary rights to post it.
5.2 License to Magis Center. You grant Magis Center a worldwide, royalty-free, non-exclusive, sublicensable, transferable, perpetual license to use, reproduce, distribute, adapt, translate, create derivative works from, publicly perform, and publicly display your User Content in all media now known or hereafter developed, for any purpose related to operating, improving, promoting, and providing the Services (including archival and backup).
5.3 Moral Rights. To the extent permitted by law, you waive any moral rights you may have in your User Content vis-à-vis Magis Center for the uses licensed above.
5.4 No Obligation to Publish; Monitoring. We may, but are not obligated to, monitor, moderate, edit, remove, or refuse to post User Content at our sole discretion. We may preserve and disclose any information if required by law or in good faith to protect rights, safety, or property.
5.5 Feedback. If you provide feedback or suggestions, you grant us a perpetual, royalty-free right to use them without restriction or compensation.
6. Intellectual Property; Limited License
6.1 Ownership. The Services, including all text, graphics, images, video, audio, designs, software, compilations, and other content and materials (excluding User Content), and all intellectual property rights therein, are owned by or licensed to Magis Center and/or its licensors and are protected by U.S. and international laws.
6.2 Trademarks. MAGIS CENTER and MAGISAI and associated logos and marks are trademarks/service marks of Magis Center or its licensors. Third-party marks are the property of their respective owners. No license is granted to use any marks except as expressly permitted.
6.3 Limited License to You. Subject to your compliance with these Terms, Magis Center grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal, non-commercial, educational use only. 6.4 Reservation of Rights. All rights not expressly granted are reserved by Magis Center and its licensors.
7. Educational and Not Professional Advice; Sensitive Topics
7.1 Educational Purpose. Content is provided for general information and education concerning faith, science, and reason, ethics, happiness, suffering, and related topics. It is not a substitute for professional advice or services.
7.2 No Professional Advice. The Services do not provide medical, mental health, legal, financial, counseling, or other professional advice. Seek qualified professionals for specific advice.
7.3 Sensitive Content. Discussion of suffering, ethics, or sensitive moral issues may appear. Discretion is advised, particularly for minors.
8. Third-Party Links and Resources
8.1 The Services may link to or reference third-party websites, content, resources, or services. We do not control and are not responsible for third-party content, policies, or practices, and linking does not imply endorsement.
8.2 Your use of third-party resources is at your own risk and subject to the third party’s terms and policies.
9. Donations, Purchases, Promotions (If Offered)
9.1 If the Site offers donations, purchases, subscriptions, or promotions, additional terms may apply and will be presented at the point of transaction or participation. Payments processed by third parties are subject to their terms and privacy policies.
9.2 We may modify, suspend, or terminate promotions at any time.
10. DMCA Copyright Policy

10.2 Your notice must include: (a) your physical/electronic signature; (b) identification of the copyrighted work; (c) identification of the allegedly infringing material and its location; (d) your contact information; (e) a statement of good-faith belief that the use is not authorized; and (f) a statement that the information is accurate and, under penalty of perjury, that you are the copyright owner or authorized agent.
10.3 If your content was removed due to a claim, you may send a counter-notice with: (a) your signature; (b) identification of the removed material and its prior location; (c) a statement of good-faith belief that removal was a mistake or misidentification; and (d) your contact details and consent to jurisdiction as required by law. We may restore content in accordance with the DMCA.
11. Privacy; California Consumer Privacy (CCPA/CPRA)
11.1 Privacy Policy. Our Privacy Policy describes how we collect, use, and share information and explains your choices. It is incorporated into these Terms. By using the Services, you consent to our privacy practices.
11.2 Cookies and Analytics. We and our providers may use cookies and similar technologies. Manage your preferences via your browser or our cookie tools (if provided). Some features may not function without cookies.
11.3 CCPA/CPRA (California Residents). To the extent the California Consumer Privacy Act/California Privacy Rights Act (collectively, “CCPA”) applies, California residents have certain rights (e.g., access, correction, deletion, opt-out of “sale”/“sharing” where applicable). 12. Children’s Privacy; COPPA
12.1 We are committed to protecting children’s privacy. The Services are not directed to children under 13 where registration or collection of personal information is required without verifiable parental consent.
12.2 If you are a parent/guardian and believe we have collected personal information from a child under 13 without verifiable parental consent, contact us at info@magiscenter.com . We will take reasonable steps to delete such information.
12.3 Certain limited features may be available to children under 13 only with verifiable parental consent. We may provide a parental consent process and/or a consent form for review and signature. Parents may review, delete, and refuse further collection/use of their child’s personal information by contacting us.
12.4 Minors 13–17 should use the Services with parental guidance. Parents remain responsible for their child’s use.
13. Changes; Availability; Suspension
13.1 We may modify or discontinue all or part of the Services at any time without notice. We are not liable for any modification, suspension, or discontinuation.
13.2 We may suspend or terminate your access (with or without notice) if we believe you violated these Terms, applicable law, or for security/operational reasons.
14. Disclaimers
14.1 “AS IS” Basis. THE SERVICES AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, MAGIS CENTER DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE.
14.2 No Guarantee. We do not warrant that the Services will be uninterrupted, timely, secure, error-free, accurate, or complete; that defects will be corrected; or that the Services are free of viruses or other harmful components. You assume all risk for your use.
14.3 Informational Nature. Content is for general educational purposes only and not professional advice. You are responsible for how you interpret and use content.
15. Limitation of Liability
15.1 TO THE FULLEST EXTENT PERMITTED BY LAW, MAGIS CENTER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
15.2 TO THE FULLEST EXTENT PERMITTED BY LAW, MAGIS CENTER’S TOTAL LIABILITY FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES OR THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) TWENTY-FIVE DOLLARS ($25); OR (B) THE AMOUNT YOU PAID (IF ANY) TO MAGIS CENTER FOR THE SERVICE GIVING RISE TO THE CLAIM IN THE THREE (3) MONTHS PRIOR TO THE EVENT.
15.3 SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; SOME LIMITATIONS MAY NOT APPLY TO YOU. NOTHING LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW.
16. Claims, Liabilities, Damages, Losses, and Expenses
You agree to indemnify, defend, and hold harmless Magis Center and its directors, officers, employees, contractors, licensors, and agents from and against all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or related to: (a) your use of the Services; (b) your User Content; (c) your violation of these Terms or applicable law; or (d) your violation of any third-party rights.17. Export, Sanctions, & Compliance
You represent and warrant that you are not located in, under the control of, or a national or resident of any country or on any list subject to U.S. export embargoes or sanctions; and you will not use the Services in violation of export control or sanctions laws.18. Electronic Signatures
By using the Services, you consent to receive communications from us electronically (e.g., by email or notices on the Site) and agree that such communications satisfy legal requirements for written communications.19. California Notices
19.1 California “Shine the Light” (Civ. Code §1798.83). We do not share personal information with third parties for their direct marketing purposes without your consent.

20. Termination and Suspension of Access
We may terminate or suspend your access to the Services at any time, with or without notice, for any reason. Upon termination, your right to use the Services will cease immediately, but sections that by their nature should survive (including 5–8, 10–16, 18–22) will survive.
21. Governing Law; Venue:
These Terms and any dispute or claim arising out of or related to them or the Services are governed by the laws of the State of California, without regard to conflicts of law principles. You consent to the exclusive jurisdiction and venue of the state and federal courts located in Orange County, California, and waive any objection to such courts on grounds of forum non conveniens or lack of personal jurisdiction.22. Miscellaneous
22.1 Entire Agreement. These Terms, together with the Privacy Policy and any additional terms presented for specific Services, constitute the entire agreement between you and Magis Center regarding the Services.
22.2 Severability. If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be enforced to the maximum extent permissible.
22.3 No Waiver. Any failure to enforce a provision is not a waiver. A waiver must be in writing and signed by Magis Center.
22.4 Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms without restriction.
22.5 Force Majeure. We are not liable for delays or failure to perform due to causes beyond our reasonable control, including acts of God, labor disputes, pandemics, war, terrorism, government actions, or interruptions of utilities or communications.
